Churchill Downs Inc. is making a significant strategic shift that could reshape its business for years to come. The company, best known for owning the iconic Churchill Downs Racetrack and hosting the Kentucky Derby, has announced plans to sell nine casino properties spread across multiple states.
The move signals a renewed emphasis on horse racing and online wagering operations, areas the company believes offer stronger long-term opportunities. While casino gaming has become an important part of Churchill Downs’ portfolio over the years, leadership now appears focused on concentrating resources around its racing assets and digital betting platforms.
The planned divestitures include casinos and gaming properties located in Florida, Indiana, Iowa, Maryland, Mississippi, New York, Pennsylvania, and Maine. Among the venues being considered for sale are Calder Casino in Florida, Terre Haute Casino Resort in Indiana, Hard Rock Hotel & Casino in Iowa, and Presque Isle Downs and Casino in Pennsylvania.
Churchill Downs has hired Macquarie Capital to assist with the sales process. Company executives indicated that the properties could be sold individually or in smaller groups rather than as a single package, a strategy designed to maximize value from the transactions. The company has also noted that no final sales agreements have been announced and there is no formal timetable for completing the process.
According to company leadership, the decision follows a strategic review of its regional gaming operations. Executives concluded that focusing on horse racing, historical horse racing venues, and online wagering would better align with the company’s long-term goals.
Churchill Downs plans to keep several key assets, including its flagship racetrack in Kentucky, Fair Grounds Race Course & Slots in Louisiana, Colonial Downs in Virginia, and its TwinSpires online wagering platform. Historical horse racing properties in Kentucky, Virginia, and New Hampshire will also remain part of the company’s portfolio.
The strategy continues a broader trend within the gaming industry, where operators are reevaluating portfolios and prioritizing businesses that fit their core strengths. Rather than maintaining a wide range of gaming assets, some companies are increasingly concentrating investments in the sectors where they believe they hold competitive advantages.
Churchill Downs has said proceeds from any asset sales would be used primarily to reduce leverage, invest in racing-related projects, and potentially repurchase company shares. Executives also pointed to future development plans at Churchill Downs Racetrack, including ongoing venue enhancements tied to future Kentucky Derby events.
The announcement came shortly after the company reported record second-quarter revenue of $980 million and record adjusted EBITDA of $477 million. Despite those financial results, the market reacted cautiously to the news, with Churchill Downs shares falling after the announcement.
For now, the company’s future direction appears clear. Churchill Downs is narrowing its focus around racing, historical horse racing, and online wagering as it seeks to streamline operations and strengthen its position in those segments.
